Uriel Law Incorporated provides web site development, hosting, computing and information services, as well as access to services, software, information and other materials provided by third parties ("Other Providers") subject to the terms and conditions of the Service Agreement ("Agreement.") The Agreement, which incorporates by reference these Service Terms, constitutes the entire and sole agreement between Uriel Law Inc. and a person or company who has an account with Uriel Law Inc. to utilize the above described services (herein referred to as "User.")
1.1 ALL WEB SITE MATERIALS CREATED BY URIEL LAW INC. AND PAID FOR BY USER IN CONJUNCTION WITH THE WEB SITE SERVICES PROVIDED UNDER THIS AGREEMENT REMAIN UNDER THE EXCLUSIVE OWNERSHIP OF THE USER.
2.1 RIGHTS CONVEYED BY THIS AGREEMENT ARE NON-TRANSFERABLE. Use of a Uriel Law Inc. account ("Account") is expressly limited to the individual or dependents whose names appear on the personal Account. The use of business Accounts is expressly limited to those employees identified on the application. User shall not assign, transfer or sublicense the rights conveyed by this Agreement.
2.2 USER IS RESPONSIBLE FOR ALL USE OF USER'S ACCOUNT (S) AND AGREES TO INDEMNIFY URIEL LAW INC. AGAINST LIABILITIES, EXPENSES (INCLUDING ATTORNEYS' FEES), AND DAMAGES ARISING OUT OF CLAIMS BASED UPON ANY AND ALL USE OF USER'S ACCOUNT. Uriel Law Inc. will promptly notify User of any claim for which URIEL Law Inc. seeks indemnification and will afford User the opportunity to participate in the defense of such claim, provided that User's participation will not be conducted in a manner detrimental to Uriel Law Inc's. interests as reasonably determined by Uriel Law Inc.
2.3 User is responsible for the confidentiality and security of all password(s) and must notify Uriel Law Inc. immediately if a User's password is lost, stolen, or otherwise compromised.
2.4 User acknowledges that areas accessible through Uriel Law Inc. Internet Access Accounts may contain material that is unsuitable for minors and User agrees to supervise usage by minors whom User permits to utilize User's Uriel Law Inc. Account.
2.5 User agrees to use the services provided by Uriel Law Inc. in a manner consistent with any and all operating rules and/or policies promulgated by Uriel Law Inc., Other Providers, and all applicable laws, whether state, federal, or international treaty.
2.51 User may not, unless otherwise expressly permitted, copy, redistribute, retransmit, publish, or otherwise transfer or commercially exploit, any material which User receives through use of the Uriel Law Inc Account.
2.52 USER AGREES THAT ANY AND ALL MATERIALS SUBMITTED BY USER FOR TRANSMISSION THROUGH, OR FOR STORAGE ON, URIEL Law Inc's EQUIPMENT DOES NOT VIOLATE OR INFRINGE ANY COPYRIGHT, TRADEMARK, PATENT, STATUTORY, COMMON LAW OR PROPRIETARY RIGHTS OF OTHERS, OR CONTAIN ANYTHING OBSCENE OR LIBELOUS.
2.6 Subject to paragraphs 2.75 and 3.41, User or Uriel Law Inc. may terminate this Agreement at any time, with or without cause, upon notice. Uriel Law Inc. reserves the right to delete User's personal files after one or both parties terminate this Agreement.
2.7 Uriel Law Inc reserves complete and sole discretion with respect to the operation of the services provided to User and may take any action it reasonably deems necessary to effectuate proper operations. This includes, but is not limited to:
2.71 Uriel Law Inc may limit access for any Internet Access Account, which has been inactive for a period of at least three (3) months. Reactivation will be accomplished at User's request providing the Account is made current and no amounts are owed.
2.72 Uriel Law Inc shall have the right, but shall not be obligated, to edit publicly viewable material.
2.73 User agrees that the use of any distribution lists in electronic mails or other mass electronic mailings through an Internet Access Account is subject to prior approval by Uriel Law Inc.
2.74 User agrees that the services provided by Uriel Law Inc. will not be utilized to advertise or promote any commercial product or services without the express written consent of Uriel Law Inc.
2.75 UrielLaw Inc, in its sole business judgment, may terminate this Agreement immediately and terminate or suspend User's access to the service upon any breach of this Agreement by User, including, but not limited to, refusal or failure to pay for services provided or by sole judgment of Uriel Law Inc that User may be performing activities harmful to Uriel Law Inc., its Users, employees, vendors, business relationships or any other users of the Internet.
3.1 User agrees to pay Uriel Law Inc for any and all charges relating to the User's Account(s), including but not limited to, monthly fees and publishing costs according to the rates in effect for the billing period in which those charges are incurred. Such rates are incorporated by reference into this Agreement.
3.11 Subject to Section 4 of this Agreement, Uriel Law Inc reserves the right to change prices, or institute new charges, for access to or use of the Account and/or services of Uriel Law Inc at any time upon no less than thirty-days (30) notice published online.
3.2 User is responsible for and must provide all telephone and other equipment and services, including any and all local or long-distance telephone charges, necessary for connecting to Uriel Law Inc.
3.3 Payment of User's Account balance is due monthly and, unless the Account is a qualified business Account, must be made by credit or debit card designated by User for Uriel Law Inc. use and transactions. Monthly access charges and publication costs are payable in advance on a monthly basis and are non-refundable.
3.31 If User's Account is a qualified business Account and approved by Uriel Law Inc. for corporate billing, charges will be accumulated, identified by User identification number, and invoiced on a monthly basis.
3.32 User must promptly notify Uriel Law Inc of any changes to: (a) the account number or expiration date of User's designated card; (b) User's billing address; or (c ) if User's designated card is cancelled for any reason. Such notification must be in writing and must include User's Uriel Law Inc Account number.
3.4 All charges are to be paid in the currency in which billed. User agrees to pay a late charge of one and one-half percent (1½%) per month on all amounts due but not timely paid and which remain unpaid for thirty days (30) or more after the billing date.
3.41 If any payment due hereunder is not made by the User within thirty (30) days of the billing date, if any card charges are rejected, or if User's card issuer, agent, or affiliate, seeks return of payments previously made to Uriel Law Inc when Uriel Law Inc reasonably believes User is liable for the charge, Uriel Law Inc may, at its sole discretion and without notice to the User: (a) suspend access to service for User's Account(s); or (b) terminate this Agreement and access to service for User's Account(s).
3.42 Uriel Law Inc reserves the right to refer User's Account to a third party for collection for any amounts which remain unpaid after 120 days from the billing date.
3.5 Uriel Law Inc agrees to provide User with a statement of charges for User's account within a reasonable time after such charges are incurred and/or paid. UNLESS USER NOTIFIES URIEL LAW INC OF ANY DISCREPANCIES REGARDING USER'S ACCOUNT WITHIN SEVENTY-FIVE (75) DAYS AFTER THEY FIRST APPEAR IN THE STATEMENT, THEY WILL BE DEEMED ACCEPTED BY USER FOR ALL PURPOSES.
4.1 Uriel LAW INC RESERVES THE RIGHT TO MODIFY THIS AGREEMENT AT ANY TIME BY PUBLISHING CHANGES ONLINE. User is responsible for reviewing such changes and User's non-termination or continued use of Uriel Law Inc. after such changes are posted constitutes User's acceptance of this Agreement as modified by the posted changes.
4.2 Uriel Law Inc, at its sole discretion and without prior notice, may discontinue or revise any or all aspects of the services it provides. Such changes include, but are not limited to, access procedures, and hours of operation, menu structures, commands, documentation, vendors and services offered.
5.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, USA, and User consents to the exclusive jurisdiction and venue of courts in Bartholomew County, Indiana, USA, in all disputes arising out of or relating to User's use of the Account or services.
5.2 Any cause of action accruing to User against Uriel Law Inc with respect to this Agreement or the services provided by Uriel Law Inc must be instituted within one (1) year after the claim or cause of action has arisen or such claim shall be barred.
5.3 If any action is brought to enforce this Agreement, or any claim is brought in breach of this Agreement, then the prevailing party in such action shall be entitled to recover the attorneys' fees, expenses, and costs actually expended in connection with such litigation.
5.4 Non-enforcement of any section or paragraph of this Agreement does not constitute waiver of that provision and Uriel Law Inc reserves the right to enforce this Agreement at its sole discretion.
5.5 If any one or more paragraphs in this Agreement are found to be unenforceable or invalid, all other paragraphs shall remain valid.
5.6 The provisions of paragraph 2.2 and Section 6 and all obligations of and restrictions on User shall survive any termination of this Agreement.
5.7 Uriel Law Inc, at its sole discretion, may require any legal matters arising under this Agreement be submitted for arbitration.
6.1 THE SERVICES PROVIDED BY URIEL LAW INC ARE PROVIDED "AS IS." NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THOSE OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE ARE MADE WITH RESPECT TO URIEL LAW INC's SERVICES OR ANY INFORMATION OR SOFTWARE THEREIN. URIEL LAW INC. EXPRESSLY DISAVOWS ANY OBLIGATION TO REIMBURSE USER FOR LOSS OF INCOME DUE TO DISRUPTION OF SERVICE BY URIEL LAW INC. OR OTHER PROVIDERS.
6.2 NEITHER URIEL LAW INC. NOR ANY OTHER PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING OR DELIVERING ANY SERVICES UNDER THIS AGREEMENT SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR THE INABILITY TO USE SUCH SERVICES.
6.3 User acknowledges that there is no guarantee, expressed or implied, that the use of Uriel Law Inc's services will increase the profitability of any commercial enterprise undertaken by User.
6.4 Uriel Law Inc is not responsible for safeguarding User's personal files residing on Uriel Law Inc equipment.
7.1 The Service Agreement, which incorporates by reference these Service Terms, constitutes the entire and sole agreement between Uriel Law Inc and User with respect to the services provided by Uriel Law Inc, and it supersedes all prior or contemporaneous communications, proposals, or agreements, in any medium, regarding to the subject matter hereof.
